Please read these Terms of Service ("Terms") carefully before using the Prepared Investors website and services located at preparedinvestors.com ("the Platform"). These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Prepared Investors ("we," "us," or "our").
By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to all of these Terms, you must not access or use the Platform. We reserve the right to modify these Terms at any time, and your continued use of the Platform following any changes constitutes acceptance of those changes.
You represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
Prepared Investors provides a financial information and analysis platform that includes real-time and historical market data for stocks, ETFs, cryptocurrencies, forex, and futures; portfolio and watchlist tracking; quantitative analysis tools; a proprietary Preparedness Score; financial education content; and a glossary of financial terms.
The Platform is provided for informational and educational purposes only. We do not provide investment advice, financial planning services, or brokerage services. We do not execute trades, hold funds, or manage portfolios on your behalf. See Section 5 (Financial Disclaimer) for important details.
Certain features of the Platform require you to create an account. When you create an account, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding the password you use to access the Platform and for any activities or actions under your account.
You agree not to share your account credentials with any third party. You must notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with these requirements.
We reserve the right to suspend or terminate your account at any time if we reasonably believe that you have violated these Terms or if your account has been compromised.
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

All content, data, tools, scores, and analysis available on the Platform are for informational and educational purposes only and should not be construed as financial advice, investment recommendations, or an offer or solicitation to buy or sell any securities.
You acknowledge and agree that: (a) the information provided on the Platform does not constitute professional financial advice; (b) you should consult with a qualified financial advisor before making any investment decisions; (c) all investment decisions are made at your own risk; and (d) past performance of any security, sector, or market is not indicative of future results.

The Platform and its entire contents, features, and functionality — including but not limited to all text, graphics, logos, icons, images, audio clips, software, data compilations, the Preparedness Score methodology, and the arrangement thereof — are owned by Prepared Investors or our licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your personal, non-commercial use in accordance with these Terms. This license does not include any right to modify, reproduce, distribute, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Platform except as incidental to normal web browsing.
The Platform may allow you to create, upload, or share content such as watchlists, portfolio configurations, notes, forum posts, and other materials ("User Content"). You retain ownership of your User Content, but by submitting it to the Platform, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, and display your User Content solely for the purpose of operating and improving the Platform.
You represent and warrant that you own or have the necessary rights to submit your User Content, and that your User Content does not violate the rights of any third party. We reserve the right to remove any User Content that we believe violates these Terms or is otherwise objectionable, at our sole discretion and without notice.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PREPARED INVESTORS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE PLATFORM; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; (C) ANY CONTENT OBTAINED FROM THE PLATFORM; (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; OR (E) ANY INVESTMENT DECISIONS MADE BASED ON INFORMATION OBTAINED THROUGH THE PLATFORM.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to indemnify, defend, and hold harmless Prepared Investors and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any rights of a third party; (d) your User Content; or (e) any investment or financial decision you make based on information obtained through the Platform.
We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Platform will immediately cease.
You may terminate your account at any time by contacting us at legal@preparedinvestors.com. Upon termination of your account, we will delete your personal data in accordance with our Privacy Policy, except as required to comply with legal obligations or resolve disputes.
All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law principles. You agree that any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Tennessee, and you hereby consent to the personal jurisdiction and venue of such courts.
Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may initiate binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.
The arbitration shall be conducted in the State of Tennessee. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own costs and attorneys' fees in connection with the arbitration, unless the arbitrator determines otherwise.
You agree that any dispute resolution proceeding will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you and Prepared Investors each waive any right to a jury trial.
We reserve the right to modify these Terms at any time at our sole discretion. When we make changes, we will update the "Last Updated" date at the top of this page. For material changes, we will provide notice through the Platform or via email to the address associated with your account.
Your continued use of the Platform after the effective date of any modifications to these Terms constitutes your acceptance of the modified Terms. If you do not agree with the modified Terms, you must stop using the Platform and may request deletion of your account.
